4. Payment Terms
Invoices are payable within 14 days of issuance unless otherwise agreed in writing. Late payments may incur a 2% monthly surcharge. All prices are exclusive of VAT, which will be applied as required by Spanish tax law. Fixed-price services require 50% upfront payment before work commences.
5. Intellectual Property
Upon full payment, the client receives full ownership of all custom deliverables produced under the service agreement. The Company retains ownership of pre-existing tools, frameworks, and methodologies used in service delivery. Source code and documentation are transferred to the client upon project completion.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement for a period of 3 years.
7. Limitation of Liability
The Company's total liability under any service agreement shall not exceed the total fees paid by the client for the specific service giving rise to the claim. The Company shall not be liable for indirect, consequential, or incidental damages including loss of profits, data, or business opportunities.
8. Termination
Either party may terminate a service agreement with 30 days' written notice. The client is responsible for payment of all work completed up to the termination date. Fixed-price contracts are non-refundable once work has commenced, subject to the Refund Policy.
9. Governing Law
These terms are governed by the laws of Spain. Any disputes shall be resolved through the competent courts of Bilbao, Biscay, Spain.

If you cancel a service after work has commenced, you are responsible for payment of all work completed up to the cancellation date. Any overpayment above the value of completed work will be refunded within 14 business days. Completed milestones are non-refundable.

If the delivered service materially differs from the agreed-upon specifications in the service agreement, you may request a revision at no additional cost. If revision is not feasible, a partial or full refund may be issued at the Company's discretion after a formal review process.
5. Recurring Services
Monthly recurring services (such as Proactive IT Support) may be cancelled with 30 days' written notice. No refund is issued for the current billing period. The service will remain active until the end of the paid period.
